Overview

Conner & Winters provides significant experience in lending transactions, and we take a pragmatic and highly skilled approach to structuring, negotiating and documenting deals. We draft credit facilities of all types and sizes, and we staff each transaction according to its legal complexity and client budget considerations. Our team works with all parties to facilitate clear communication, straightforward negotiations and clear and concise documentation—all necessary elements for a successful closing.

Syndications

In the syndicated loan market, Conner & Winters has a reputation for experienced, knowledgeable attorneys. We represent domestic and international lending institutions that act as agents or arrangers and regularly handle complex, multi-jurisdictional transactions. Our team can skillfully navigate the varying needs and concerns of other parties in a lender group, getting the deal done.

Real Estate

We assist lenders and borrowers with commercial, industrial and residential loans and credit facilities pertaining to all types of real estate. We are experienced in construction lending, including state-law specific issues with respect to materialmen’s liens and foreclosure issues.  We also counsel clients on real estate tax-advantaged structures, including 1031 exchanges, synthetic leases, REITs and more.

Wind Energy

Our group has a particular depth of experience in wind energy, and we advise lenders, developers, utilities, governments, landowners and others on wind project development, construction and finance. Conner & Winters has been at the forefront of wind projects in Oklahoma.

Gaming

We advise lenders, tribes, regulators, investors and management companies on structuring and closing casino and gaming transactions. We work closely with our American Indian / Native American practice group to provide the highest level of client service, and our attorneys have a deep understanding of tribal sovereign immunity issues and can adequately protect lenders. We offer skilled advice on compliance with the Indian Gaming Regulatory Act (IGRA) and handle the submission and review of National Indian Gaming Commission (NIGC) declination letters. Our firm has extensive experience with many federally recognized tribes and can offer practical advice on industry norms and the unique needs of various tribes. Members of our team are active in the Native American Finance Officers Association (NAFOA).

Health Care

Conner & Winters is well-versed in the development, acquisition and sale of health care facilities, and financings in connection with such transactions. Our attorneys regularly document financings for numerous types of health care entities, including hospitals, skilled nursing facilities, assisted living facilities, medical office buildings and physician clinics. We also closely work with our Health Care practice group to assist clients with the ever-changing regulatory landscape, avoiding compliance problems and costly litigation.

Mezzanine

Our team is familiar with transactions involving multiple layers, including mezzanine and subordinated lending. We structure co-investments with equity sponsors and negotiate subordination and intercreditor agreements. We draw on an interdisciplinary group involving our Tax and Corporate and Securities practice groups to optimally structure, document and close any mezzanine financing transaction.

Aircraft

We have extensive experience in aviation financing transactions.  We work closely with our Aviation practice group in representing both operators and financiers, successfully navigating issues unique to aircraft financing. We are also familiar with the financing and leasing of engines and spare parts.

Public Finance

Our team has been involved in numerous tax-exempt financings for numerous governmental organizations, and we advise lenders, bond counsel, underwriters’ counsel and others. We collaborate with attorneys in our Tax and other practice areas to optimally structure any public finance transaction.
