Amanda M. Swain’s practice includes federal and state income tax planning for individuals and business entities; estate planning; asset protection planning; sophisticated wealth transfer tax planning; tax structuring of business transactions including mergers and acquisitions; charitable organizations; business succession planning; and representing clients involved in tax controversy matters with the Internal Revenue Service and Oklahoma Tax Commission.

Representative Transactions/Cases

Estate planning, including revocable trusts, pour-over wills, life insurance trusts, advance directives for healthcare and durable powers of attorney

Advise high net worth clients on wealth transfer planning including the use of family limited liability companies and installment sales to intentionally defective grantor trusts

Advise clients on estate and trust administration matters including both domiciliary and ancillary probate in over eight (8) counties

Advise clients on formation, administration and governance of charitable organizations

Prepare and file federal gift tax returns and estate tax returns

Advise clients, both purchasers and sellers, in asset purchases/sales and stock or membership interest acquisitions/sales or merger transactions

Represented sellers in sale of their membership interests in a limited liability company to a private equity company for a total purchase price of $65,000,000

Represented health care group in sale of related companies to publicly traded corporation

Represented local crane company in sale of limited liability company membership interests to Austrian corporation

Represent clients, including individuals, corporations and partnerships, before the Internal Revenue Service and Oklahoma Tax Commission as well as filed petitions on behalf of clients in the United States Tax Court and obtained favorable dispositions of those cases

Counseled numerous individuals regarding IRS Offshore Voluntary Disclosure programs for U.S. taxpayers with undisclosed offshore accounts that had failed to file the necessary FBAR forms and represented those individuals as they either entered or opted out of those programs
